MISCHIEF: You are responsible for the damages caused to the integrity and accuracy of PrefabExpo database. You agree to pay for the time required to clear misleading or inacurate information, if provided or caused by you, at the rate of US$60/hr. plus third party cost, if any.

MEMBERSHIP SERVICES: PrefabExpo provides fee-based Memberships. Each Membership contains its own collection of services (further as "Services"), Setup fee and Membership fee. You agree to pay Membership fees according to rates and prices published online. Online rates and pricing are incorporated into this Agreement by reference.

BILLING: You agree that your credit card will be charged Membership fees according to the selected Membership Plan when you submit your registration information which occurs as soon as you click on the "Submit Signup Form" button on the registration form. You agree that your payment of monthly Membership fees is due each month on the anniversary day of your registration, payable in advance. Any account which remains unpaid 3 days after payment due day will be considered delinquent and the account will be canceled. Terminated delinquent accounts will be subject to the same installation fees as new accounts. A billing statement will not be issued, and the Member's credit card statement will serve as proof of purchase. All Membership accounts will be considered open and in use until the Member personally terminates their own account.

NO-DUPLICITIES: PrefabExpo prohibits duplicate registrations of the same business address. Duplicate registration is a registration of a business pointing to the same geographical location as a business already registered with PrefabExpo, regardless of differences in names and inconsiderable differences in the addresses. You agree that before entering your business address, you will research the PrefabExpo Directory of Vendors to avoid creating duplicities in the PrefabExpo database.

YOUR OBLIGATIONS: You agree to provide true, accurate and and complete information as prompted and required by the Services, and to keep such information current. If you provide any untrue, inaccurate or incomplete information PrefabExpo has the right to refuse you any or all future use of the Services. You our aware of our policy to penalize the mischief as described under the heading "Mischief". PrefabExpo might periodically ask Members to respond to validation requests. If you do not respond in an appropriate fashion to such validation request, PrefabExpo may choose to deactivate your listing until an appropriate response is given.

USE OF SERVICES: The rights, benefits, privileges and duties arising from Membership are non­transferable. Use of Account is expressly limited to the individual Member whose name appears on the account. You agree not to reproduce, duplicate, copy, sell, resell or exploit for any commercial purposes, any portion of the Services or use of the Services that is not expressly and specifically permitted in writing by PrefabExpo.

DIRECTORY LISTING: As part of its Services, PrefabExpo provides listings of businesses, their products and services, in PrefabExpo Directories according to PrefabExpo Membership Plans. PrefabExpo reserves the right to decide whether, where, and how your information will be listed. PrefabExpo will consider your preferences, but reserves the right to list your site in a category or subcategory as PrefabExpo deems appropriate, in its sole discretion.

CONTENT: As part of its Services, PrefabExpo provides its Members with the opportunity to communicate with other users of the Site. You understand that all information, data, text, links, articles, software, photographs, graphics, video, music, sound, messages, or other materials posted by you or any party on the Site (collectively, the "Content"), are the sole responsibility of you, or a party posting or transmitting such Content. You understand that PrefabExpo does not take any responsibility for the Content transmitted between you and other users of the Site or posted at the Site. You agree not to use the Services and Site to upload, post, email or otherwise transmit any Content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable; that infringes any patent, trademark, trade secret, copyright or other proprietary rights; that contains unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other similar form of solicitation; that intentionally or unintentionally violate any applicable local, state, national or international law and any regulations having the force of law. PrefabExpo reserves the right to refuse or move any Content.

OWNERSHIP: You grant PrefabExpo the world-wide, royalty free, perpetual, irrevocable, non-exclusive and fully sublicensable right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform and display (in whole or part) worldwide and/or to incorporate it in other works in any form, media, or technology, reproduce, modify, adapt and publish your Content you elect to post on the Service.

ACCOUNT SECURITY: You will receive a UserID and Password which you must use to access your PrefabExpo account. You are responsible for maintaining the confidentiality of the password and username, and are fully responsible for all activities that occur under your password and username. You agree to immediately notify PrefabExpo of any unauthorized use of your password or username or any other breach of security. Although information that you submit may be password-protected, PrefabExpo does not guarantee the security of any information transmitted to or from this Site. You agree to assume the security risk for any information you provide using the Services.

LIABILITY: Use of Services and Content is at your own risk. PrefabExpo, under no circumstances will be liable for any damages including, without limitation, direct, special, consequential, indirect, exemplary or punitive damages (including, without limitation, loss of profits, business interruption and loss or inaccuracy of information), arising out of use or inability to use the Services and Content, whether or not such damages were foreseeable and even if PrefabExpo was advised that such damages were likely or possible.

INDEMNITY: You agree that you must evaluate, and bear all risks associated with the use of any Content, including any reliance on the accuracy, completeness, or usefulness of such Content. You agree to indemnify and hold PrefabExpo and its employees harmless from any claim or demand, including attorneys' fees, made by any third party due to or arising out of Content you submit, post to or transmit through the Services, your use of the Services, your violation of the this Agreement, or your violation of any rights of another.

TERMINATION: PrefabExpo reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Services (or any part thereof) with or without notice. You agree that PrefabExpo, in its sole discretion, may terminate your password, account, or use of the Services, and remove and discard any Content within the Services, for any reason, and may at any time discontinue providing the Services, or any part thereof, with or without prior notice. You agree that PrefabExpo shall not be liable to you or any third-party for any termination of your access to the Services. You agree that PrefabExpo shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Services. Member has the right to terminate Services and close the account at any time without liability and with no prior notice. Cancellation of Membership and termination of Services is effective on the billing day of the month following the month in which the cancellation request is received.

DEALINGS WITH THIRD PARTIES: Your correspondence or business dealings with advertisers and/or other users of the Service ("Third parties"), including payment and delivery of goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such parties. You agree that PrefabExpo shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings, or as the result of the presence of such advertisers on the Services.

LINKS: PrefabExpo Services may provide, or third parties may provide, links to other websites or resources. You acknowledge and agree that PrefabExpo is not responsible for the availability of such external sites or resources, and does not endorse and is not responsible or liable for any Content, advertising, products, or other materials on or available from such sites or resources. You further acknowledge and agree that PrefabExpo shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such Content, goods or services available on or through any such Website or resource.

DISCLAIMER OF WARRANTIES: You acknowledge that the Services have been provided to you "as is," with no guarantees of completeness, accuracy, reliability, usefulness or timeliness. You expressly understand and agree that your use of the Services are at your sole risk. To the fullest extent permissible under applicable law, PrefabExpo disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability and fitness for a particular purpose. Any Content obtained through the use of the Services is done at your own discretion and risk and at your sole responsibility for any damage or loss that results from the use of any such Content. No advice or information obtained by you from PrefabExpo or through or from the Services shall create any warranty not expressly stated in this Agreement. PrefabExpo do not warrant that your use of the Services will be uninterrupted, error-free or virus free.

TRADEMARKS: PrefabExpo, PrefabExpo.com, PrefabExpo logo, and the phrase "PrefabExpo Catalog" and the "PrefabExpo Guide" and the "Prefabricated Buildings Marketplace"are trademarks of PrefabExpo. PrefabExpo's trademarks may not be used in connection with, or in any way which implies endorsement of, any product or service, or in any manner that disparages or discredits PrefabExpo without the express prior written consent of PrefabExpo.

PROPRIETARY RIGHTS: You acknowledge and agree that the Services used in connection with the Services, including the organization and layout of Site, contain proprietary and confidential information that is protected by intellectual property and other laws. You further acknowledge and agree that Content of Site, or sponsor advertisements, presented to you through the Services is protected by proprietary rights and laws. You agree not to reproduce, distribute, modify, lease, loan, sell or create derivative works based on the Service and Content, in whole or in part, unless expressly authorized by PrefabExpo.

UPDATES: PrefabExpo reserves the right to add, delete or modify some or all terms of Vendors Service Agreement from time to time, with or without notice. Such modifications will be effective immediately. You agree to review the Agreement periodically, and your continued access or use of this site will signify your agreement to the amended terms of use.

OUR RELATIONSHIP: PrefabExpo maintains the PrefabExpo.com website for informational activities. We do not perform any of these activities as for ourselves or on behalf of any Member, User, Visitor, Buyer or Seller and are not involved in the actual transaction between Buyers and Sellers. No agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created by this Service Agreement between you and PrefabExpo.

REPORTING OBLIGATIONS: PrefabExpo will comply with its obligations to report evidence of child pornography offenses to the appropriate law enforcement authorities pursuant to the Protection of Children from Sexual Predators Act.

NOTICES: Except as explicitly stated otherwise or required by law, you must provide any notices permitted or required by this Service Agreement to us by emailing us at using the email account you provided during your registration for Membership. We shall provide any notices to you by email, to the email address you provide during your registration for Membership. Email notices will be deemed given within 12 hours of delivery by us.

Venue And Jurisdiction: This Agreement constitutes the entire agreement between you and PrefabExpo and governs your use of the Service, superceding any prior agreements between you and PrefabExpo. You also may be subject to additional terms and conditions that may apply when you use affiliate services, third-party content or third-party software. Those who access this Web site, Content and/or the Services from other locations do so at their own risk and are responsible for compliance with applicable local laws. PrefabExpo makes no representation that the Content or any data delivered through the Services is appropriate or available for use in other locations. The failure of PrefabExpo to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision. If any provision of this Agreement is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of this Agreement remain in full force and effect. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Service must be filed within twelve (12) months after such claim or cause of action arose or be forever barred. The section titles in the Agreement are for convenience only and have no legal or contractual effect.
